Description The Deputy General Counsel will provide legal advice and support to AHA and AHA affiliates (collectively AHA) and assists in the management of attorneys and administrative support staff. Provides oral and written advice to AHA Departments in matters relating to real estate transactions, contracting, procurement, employment, governmental regulations, corporate governance, environmental issues, torts, housing choice, real estate management, resident issues, regulatory compliance and other legal matters impacting the business of AHA.

Essential Duties and Responsibilities:

Prepare documents for mixed-finance real estate closings, conventional real estate closings and other real estate related transactions (e.g., revitalization agreements, purchase and sale agreements, closing statements, declaration of trusts and restrictive covenants, corporate authority documents, legal opinions, escrow agreements, regulatory and operating agreements, easements, cooperation agreements, leases, licenses, affidavits, deeds, financing documents, etc.). Perform due diligence reviews of loan documents, title reports, environmental assessments, surveys, and other documents relating to real estate matters. Interpret laws, rulings, and regulations relating to all AHA matters and confer with expert outside counsel on related specialty matters, and interface and negotiate with regulators with respect to regulatory compliance. Provide regulatory and administrative guidance to the Housing Choice Program (HCP). Conduct administrative hearings regarding the denial of or termination of housing assistance benefits and prepare well-reasoned and skillfully written hearing decisions in a timely manner.
Respond to inquiries from law firms and Legal Aid regarding program participants, residents, landlords, and program properties; and manage litigation directly related to the HCP. Prepare AHA and affiliate board resolutions and advise AHA on matters relating to AHA authority to carry out business functions. Will also advise on matters concerning internal affairs, including matters relating to commissioners, directors, officers, employees and corporate relations with the general public. Respond to document and information requests from news media, litigants, residents, government agencies and other third parties, including Open Record Act requests, subpoenas, and discovery requests. Advise on procurement procedures, conflicts of interest and ethics rules impacting employees and AHA’s interactions with third parties.
Requirements A Juris Doctorate degree from an accredited law school and 15 years of related experience, including at least 10 years of managerial experience. Significant experience providing legal advice to senior executives is likewise required. Required membership to the Georgia Bar Association and to be in good standing or must be admitted within eleven months of employment. Excellent analytical, legal research and writing skills, superior communication skills and the ability to synthesize information in an environment that is often very fluid, highly charged and fast-paced. Requires proficiency in current office technology and software applications. Requires extreme attention to detail and a thorough understanding of all current legal issues.
